Terms of Service

1. Introduction and Parties

These Terms of Service ("Terms" or "AGB") govern your use of the Suisse Notes service, an AI-powered meeting transcription and note-taking platform. By accessing or using our service, you agree to be bound by these Terms.

The contractual parties are:

Suisse AI Group GmbH provides the commercial services, customer support, billing, and day-to-day operations of the Suisse Notes platform.

Suisse IT GmbH owns all intellectual property rights related to the Suisse Notes platform, including software, algorithms, designs, and trademarks.

2. Service Description

Suisse Notes provides the following services:

  • Meeting Transcription: AI-powered speech-to-text conversion of meeting audio
  • Meeting Bot: Automated bot that joins video conferences to record and transcribe
  • AI Summaries: Automated generation of meeting summaries, action items, and key points
  • Calendar Integration: Synchronization with Google Calendar and Microsoft 365
  • Note Management: Storage, search, and organization of meeting notes
  • Collaboration Features: Sharing and collaboration on meeting notes within teams

3. Account Registration

To use Suisse Notes, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

You must be at least 16 years old to create an account. If you are registering on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Acceptable Use and Recording Consent

4.1 Acceptable Use

You agree to use Suisse Notes only for lawful purposes. You must not:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others, including privacy and intellectual property rights
  • Record conversations without proper consent from all participants
  • Use the service for harassment, abuse, or harmful purposes
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service or servers
  • Reverse engineer, decompile, or disassemble any part of the service
  • Resell or redistribute the service without authorization

4.2 Recording Consent

Important: You are solely responsible for ensuring that you have obtained all necessary consents before recording any meeting or conversation using Suisse Notes. This includes:

  • Informing all meeting participants that the meeting will be recorded
  • Obtaining explicit consent where required by law
  • Complying with all applicable recording consent laws in your jurisdiction
  • Following your organization's policies regarding meeting recording

Our meeting bot announces its presence when joining meetings. However, you remain responsible for ensuring all participants are aware of and consent to the recording.

5. Intellectual Property

5.1 Our Intellectual Property

All intellectual property rights in the Suisse Notes service, including but not limited to software, algorithms, user interface designs, logos, trademarks, and documentation, are owned exclusively by Suisse IT GmbH.

You are granted a limited, non-exclusive, non-transferable license to use the service in accordance with these Terms. This license does not include:

  • The right to sublicense, sell, or distribute the service
  • The right to modify, adapt, or create derivative works
  • The right to reverse engineer or decompile the software
  • Any rights to our trademarks, logos, or branding

5.2 Your Content

You retain ownership of your content, including meeting recordings, transcriptions, and notes created through the service. By using Suisse Notes, you grant us a limited license to process, store, and transmit your content solely for the purpose of providing the service.

6. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using Suisse Notes, you acknowledge that you have read and understood our Privacy Policy and consent to the collection and processing of your data as described therein.

7. Subscription and Payment

7.1 Subscription Plans

Suisse Notes offers various subscription plans, including free and paid tiers. The features, limitations, and pricing of each plan are described on our website.

7.2 Payment Terms

For paid subscriptions:

  • All prices are quoted in Swiss Francs (CHF) unless otherwise stated
  • Subscriptions are billed in advance on a monthly or annual basis
  • Payment is due upon invoice or at the time of subscription
  • We accept major credit cards and bank transfers
  • All fees are non-refundable except as required by law

7.3 Price Changes

We may change our prices from time to time. Price changes will be communicated at least 30 days in advance and will apply to the next billing cycle.

7.4 Taxes

All prices are exclusive of VAT (MWST) and other applicable taxes unless otherwise stated. You are responsible for any taxes associated with your use of the service.

8. Service Availability

We strive to maintain high availability of the Suisse Notes service. However, we do not guarantee uninterrupted access. The service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency maintenance or security updates
  • Circumstances beyond our reasonable control
  • Third-party service outages (video conferencing platforms, cloud providers)

We will make reasonable efforts to minimize downtime and communicate any significant service disruptions.

9. Limitation of Liability

To the maximum extent permitted by Swiss law, including the Swiss Code of Obligations (OR):

  • No Warranty: The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
  • Limitation of Damages: Neither Suisse AI Group GmbH nor Suisse IT GmbH shall be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Maximum Liability: Our total liability for any claims arising from these Terms or your use of the service shall not exceed the fees you paid to us in the twelve (12) months preceding the claim.
  • Exceptions: These limitations do not apply to liability arising from gross negligence, willful misconduct, or mandatory statutory liability that cannot be excluded under Swiss law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Suisse AI Group GmbH, Suisse IT GmbH, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any third-party rights, including privacy rights
  • Your failure to obtain proper recording consent
  • Your content or data processed through the service

11. Termination

11.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us at info@suisse-notes.ch. Upon termination:

  • Your access to the service will be revoked
  • Your data will be deleted in accordance with our Privacy Policy
  • No refunds will be provided for unused subscription periods

11.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You fail to pay applicable fees
  • We are required to do so by law
  • We discontinue the service (with reasonable notice)

11.3 Effect of Termination

Upon termination, sections relating to intellectual property, limitation of liability, indemnification, governing law, and general provisions shall survive.

12. Changes to Terms

We may modify these Terms from time to time. Material changes will be communicated to you via:

  • Email notification to your registered email address
  • Notice within the application
  • Posting on our website

Continued use of the service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the service and terminate your account.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the service shall be subject to the exclusive jurisdiction of the courts of the Canton of Zurich, Switzerland, with Zurich as the place of venue.

Notwithstanding the foregoing, if you are a consumer residing in the EU/EEA, you may also bring proceedings in the courts of your country of residence, and mandatory consumer protection laws of your jurisdiction may apply.

14. General Provisions

14.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14.2 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.

14.3 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms to any affiliate or successor in interest without restriction.

14.4 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the service and supersede all prior agreements.

14.5 Language

These Terms are provided in English. In case of any discrepancy between translations, the English version shall prevail.
